1. Introduction & Acceptance

These Terms and Conditions ("Terms") govern the contractual relationship between Estach ("the Company", "we", "us", or "our") and the individual or entity engaging our services ("Client" or "you"). By signing a proposal, making a payment, or otherwise engaging Estach's services, you confirm that you have read, understood, and agreed to be bound by these Terms in their entirety.

These Terms apply to all services offered by Estach, including but not limited to B2B digital marketing, business photography, product photography, and brand visual shoots.

2. Services Offered

Estach provides the following professional services:

Digital Marketing - SEO, social media marketing, content strategy, paid advertising (PPC/Meta/Google), email marketing, and B2B growth campaigns
Business Photography - Professional photography for corporate teams, executives, company profiles, events, and internal communications
Product Photography - Studio and lifestyle photography for physical products, e-commerce listings, and commercial usage
Brand Visual Shoots - Creative direction, visual storytelling, and full scale production for brand identity and marketing campaigns

Specific deliverables, timelines, inclusions, and pricing for each project will be documented in a separate Service Agreement or Proposal signed by both parties prior to commencement of work.

3. Client Responsibilities

In order for Estach to deliver services effectively and on time, the Client agrees to:

Provide accurate, complete, and timely information, materials, and approvals as required for project execution
Grant necessary access to accounts, platforms, locations, or assets as applicable to the scope of work
Review drafts, proofs, and deliverables and provide consolidated feedback within the timelines agreed in the project scope
Ensure that all third party materials, brand assets, or reference content provided to Estach are free from copyright or legal encumbrances
Appoint a designated point of contact with sufficient authority to make decisions and approvals on behalf of the company

4. Payment Terms

All payment terms, milestones, and amounts will be outlined in the individual project proposal or agreement. The following general terms apply:

An advance payment or retainer (as specified in the proposal) is due before any work commences
Remaining balances are due as per the payment schedule outlined in the project agreement
Payments must be made via the methods specified in the invoice (bank transfer, UPI, or other approved methods)
Late payments may attract a delay charge or result in a pause of work, as specified in the project agreement
All prices are exclusive of applicable taxes (including GST) unless explicitly stated otherwise
Estach reserves the right to withhold final deliverables until all outstanding payments are received in full

5. Revisions & Approvals

The revision process and number of permitted revision rounds will be defined in the project proposal. The following general terms apply:

The agreed number of revision rounds is included within the quoted project fee
Revisions or changes requested beyond the agreed scope will be quoted and billed separately as additional work
Once a deliverable has been formally approved by the Client (in writing or via email), no further revisions will be made under the original scope
Final files and assets will be released only upon receipt of full and confirmed payment
Estach is not responsible for delays in delivery caused by the Client's failure to provide timely feedback or approvals

6. Intellectual Property & Ownership

The following terms govern ownership of creative work and intellectual property arising from our engagement:

Upon receipt of full and final payment, the Client is granted ownership rights over the final agreed deliverables as specified in the project proposal
Estach retains ownership of all raw files, source files, unused concepts, outtakes, and working materials unless explicitly agreed otherwise in writing
Estach reserves the right to use completed project work for portfolio display, website showcase, social media, and promotional purposes, unless the Client submits a written confidentiality request prior to project completion
All creative strategies, campaign concepts, and proprietary processes developed by Estach remain the intellectual property of Estach
The Client must not resell, sublicense, or redistribute Estach's deliverables to third parties without prior written consent

7. Photography Specific Terms

The following additional terms apply specifically to photography and visual shoot engagements:

The Client is solely responsible for obtaining all necessary permits, location access approvals, and third party model or talent releases required for the shoot
Estach is not liable for delays, cancellations, or sub optimal results caused by the Client's failure to secure locations, materials, subjects, or required clearances
Rescheduling a confirmed shoot with less than 48 hours' notice may attract a rescheduling fee as specified in the proposal
Cancellation of a confirmed shoot after project commencement may result in forfeiture of the advance payment made
Estach will exercise professional judgment in all shoot environments; any specific requirements must be communicated in writing prior to the shoot date
Post production edits, colour grading, and retouching are delivered as per the agreed style reference. Significant stylistic changes post delivery may be treated as additional scope

8. Confidentiality

Both Estach and the Client agree to maintain strict confidentiality of any sensitive business information, proprietary data, trade secrets, strategies, or materials disclosed during the course of the engagement. This obligation survives the completion or termination of any project and remains in force indefinitely unless disclosure is required by law.

Estach will not disclose any Client specific campaign data, business information, or identifiable project details to any third party without prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

Estach's total aggregate liability to the Client shall not exceed the total fees paid by the Client for the specific project in question
Estach shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of revenue, loss of data, loss of business opportunity, or reputational damage
Estach does not guarantee specific marketing outcomes, including but not limited to follower counts, lead volumes, conversion rates, or advertising performance, as these are subject to market conditions, platform algorithms, and audience behaviour
Estach is not responsible for errors arising from incorrect or incomplete information provided by the Client

10. Cancellation & Refund Policy

All cancellation and refund requests must be submitted in writing to [Email Address]. The following terms apply:

Cancellations prior to project commencement may be eligible for a partial refund of the advance, less any administrative or preparation costs incurred
Cancellations after project commencement will be assessed based on the work completed to the date of cancellation; refunds, if any, will be issued accordingly
No refunds will be issued once the final agreed deliverables have been approved and delivered to the Client
Estach reserves the right to terminate a project in cases of non payment, misrepresentation, or breach of these Terms, without refund obligation

11. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the services provided, the parties agree to first attempt resolution through good faith negotiation.

If the dispute cannot be resolved amicably within 30 days, it shall be subject to the exclusive jurisdiction of the courts located at [City, State], India.

12. Amendments

Estach reserves the right to revise or update these Terms and Conditions at any time. Clients will be notified of significant changes via email or through a notice on our website. Continued engagement with Estach's services following notification of such changes constitutes the Client's acceptance of the revised Terms.

13. Entire Agreement

These Terms, together with the applicable Service Agreement, Proposal, and any written addenda, constitute the entire agreement between Estach and the Client with respect to the services engaged. They supersede all prior negotiations, representations, or understandings, whether oral or written.
